Book excerpt: Excerpt from An Overview of Takeover Defenses In summary, takeover resistance motivated by first rationale of hidden values and the second rationale of inducing an auction can benefit target shareholders. However, the managers' natural bias is likely to result in opposition to some takeovers that would benefit target shareholders. The third reason for takeover defenses, managerial self-interest, benefits the stockholders only if resistance happens by chance to be the appropriate action for one of the first two reasons. These three reasons for takeover defenses are not mutually exclusive combinations of the three are often present in defense strategies. For example, managers may use takeover defenses because they prefer friendly, negotiated transactions. This combines elements of the three reasons for takeover defenses. Negotiated acquisitions enable the target managers to share ideas and information with the bidding firm. Consistent with the first and second reasons, this may increase the offer price. It also increases the chances of retaining the target's management team, which is consistent with the third reason. Finally, a negotiated transaction is generally more civilized: to the managers that is like an increase in compensation. We address this question by constructing an agenda-setting model in which rational, informed, and value-maximizing shareholders vote on requests for such devices made by a self-interested management with employment opportunities outside the firm. We find sufficient conditions for the value of the firm to decline as a result of a request, although it is approved by shareholders. In our model, the apparently paradoxical voting behavior occurs because the expected takeover premium would be reduced more by rejection of the request than by approval, so shareholders rationally choose approval. The study makes a first attempt to analyze takeover regulations in a comparative context across 50 countries. It proposes a methodology to create a detailed index on the most salient features of capital market laws, and illustrates the approach on the case of takeover legislation. The methodology allows better understanding of the impact of laws on markets and development, allows a detailed quantification of a given regulation, in this case takeover market rules, and helps determine relevant policy implications. Specifically, the framework permits the exploration of the effects of individual regulations, their substitutability and interplay, as well as the overall extent of friendliness of the laws to investors, or particular groups thereof (such as minority shareholders), and the links of specialized regulation with the overall legal system. Finally, the study explores the effect of the investor-friendliness of takeover laws on stock market development.

Book excerpt: In the military, information technology (IT) has enabled profound advances in weapons systems and the management and operation of the defense enterprise. A significant portion of the Department of Defense (DOD) budget is spent on capabilities acquired as commercial IT commodities, developmental IT systems that support a broad range of warfighting and functional applications, and IT components embedded in weapons systems. The ability of the DOD and its industrial partners to harness and apply IT for warfighting, command and control and communications, logistics, and transportation has contributed enormously to fielding the world's best defense force. However, despite the DOD's decades of success in leveraging IT across the defense enterprise, the acquisition of IT systems continues to be burdened with serious problems. To address these issues, the National Research Council assembled a group of IT systems acquisition and T&E experts, commercial software developers, software engineers, computer scientists and other academic researchers. The group evaluated applicable legislative requirements, examined the processes and capabilities of the commercial IT sector, analyzed DOD's concepts for systems engineering and testing in virtual environments, and examined the DOD acquisition environment. The present volume summarizes this analysis and also includes recommendations on how to improve the acquisition, systems engineering, and T&E processes to achieve the DOD's network-centric goals.

Book excerpt: The Defence Committee accepts that there are deep-rooted problems with the present acquisition system, and draws attention to the example of the decision in 2010 to change to the carrier variant of the Joint Strike Fighter, a decision which later had to be reversed. The Committee agrees with the Government that the current arrangements for acquisition, constrained by public sector employment rules, are unsatisfactory. But the proposal to entrust acquisition to a Government owned, Contractor operated company is not universally accepted as the best way forward, and there are particular concerns about how the MoD's overall responsibility for acquisition could be maintained within a GoCo. The Committee considers that problems might arise if a non-UK company were given responsibility for UK defence acquisition. It further considers it vital that consultations are satisfactorily concluded with allies, to ensure that there is no adverse impact on co-operation, before any proposals are implemented.
