La loi de sauvegarde des entreprises du 26 juillet 2005, en conservant ces objectifs, change de méthode en mettant l'accent sur un traitement plus précoce des difficultés de l'entreprise résumé sous le vocable de prévention. L'ouvrage traite du droit des entreprises en difficulté dans une synthèse claire et complète. Sont d'abord envisagées la prévention et la conciliation. Si ces techniques se révèlent insuffisantes, il y a place à ouverture d'une procédure collective de paiement. Le débiteur peut choisir de se placer sous la sauvegarde ou est contraint de se soumettre au redressement ou à la liquidation judiciaire. Sauvegarde et redressement judiciaire débutent par une période d'observation, phase préparatoire aux plans de sauvegarde ou de redressement. A défaut de plan, sera prononcée la liquidation judiciaire destinée à la vente des biens du débiteur et à la distribution de leur prix, mais pouvant conduire également à un plan de cession. Les partenaires du débiteur, créanciers, cocontractants et propriétaires auront à subir les contraintes inhérentes à l'organisation collective de la procédure. Si des fautes sont relevées, contre le débiteur, des dirigeants sociaux ou des tiers, des sanctions civiles et pénales pourront être appliquées. En perpétuelle mutation, la matière nécessite une étude attentive de la jurisprudence, qui est menée dans l'ouvrage, à jour des dernières réformes de la matière. L'ouvrage permet d'assurer la réussite aux examens pour les étudiants de master (1er et 2e année) en droit, de maîtrise en sciences techniques comptables et financières (MSTCF) et de DUT carrières juridiques. Il peut également être consulté avec profit par les professionnels des procédures collectives.
