Book excerpt: To examine the impact of acquisition announcements on the stock market returns of rivals of the acquiring firms, we propose a growth probability hypothesis: when an acquisition is announced, it signals the potential for future growth in the acquirer's industry to the market, resulting in positive stock market reactions to rivals of the acquiring firms. We test the growth probability hypothesis with a longitudinal sample of Chinese domestic and cross-border acquisitions during 1993-2008. The results provide robust support for this hypothesis as a means to explain market reactions to rivals of acquiring firms. We also empirically test and negate alternative theoretical explanations advanced in prior literature to explain positive market reactions to rivals of the target firms.

Book excerpt: We examine the characteristics, strategies, and performance of acquirers in 12,476 completed US acquisitions. We document that a portfolio of acquiring firms significantly outperformed market benchmarks during the 1990s, and that frequent acquirers outperformed infrequent acquirers. This outperformance reflects superior stock price performance that occurs before, not after, acquisition announcements, implying that it is good performance that begets acquisitions rather than the reverse. In addition to this pre-acquisition stock price run-up, in the vast majority of cases, we observe a statistically and economically significant positive market reaction to the acquisition announcement itself. Further, we find that acquirer size is not the most important determinant of the market reaction to an acquisition announcement. Instead, the target organizational form ndash; i.e., whether the target is public or non-public ndash; dominates all else. In addition, the size of the target and the medium of exchange are at least as important as acquirer size. Our empirical results lead us to conclude that the widely accepted attributions of ldquo;hubrisrdquo; and ldquo;agency costsrdquo; to the motivations of the managers of acquiring firms are perhaps overstated, since they apply only to a small subset of cases where the target is relatively large and publicly traded, and stock is used as the sole medium of exchange. A substantial portion of Mamp;A activity is consistent with shareholder value-maximizing behavior.

Book excerpt: We explore whether acquiring CEOs and directors act consistently with the idea that their newly announced acquisitions will increase long-term firm value. Specifically, we examine postannouncement adjustments to CEOs' equity-based holdings and find acquiring CEOs tend to exercise options and sell firm stock following acquisition announcements. Moreover, positive short-term market performance exacerbates this effect. Further, we find directors tend to grant their acquiring CEOs stock options, after acquisition announcement, presumably to more tightly align CEO-shareholder interests. These findings suggest that when CEOs and directors manage acquiring CEOs' equity-based holdings, they do not appear to anticipate long-term value creation from their acquisitions.

Book excerpt: This paper documents that acquiring firms are more likely than non-acquiring firms to split their common stocks before making acquisition announcements, especially when the acquisition is financed by stock and when the deal is large. We investigate possible reasons for this pattern and find very little evidence supporting signaling theory and some evidence supporting the trading range hypothesis. Our results strongly support the hypothesis that some, though not all, acquiring firms use stock splits to inflate their equity value before acquisition announcements. Splitting acquirers experience more negative abnormal returns upon acquisition announcements and lower operating performance following the acquisitions compared with non-splitting acquirers. Furthermore, among splitting acquirers, the ones that are more likely to use stock splits to manipulate their stock values have lower operating performance and lower stock returns subsequent to the completion of acquisitions, especially when the deal is financed by equity.
