Book excerpt: Progressive Corporate Governance for the 21st Century is a wide ranging and ambitious study of why corporate governance is the shape that it is, and how it can be better. The book sets out the emergence of shareholder primacy orientated corporate governance using a study of historical developments in the United Kingdom and the United States. Talbot sees shareholder primacy as a political choice made by governments, not a ‘natural’ feature of the inevitable market. She describes the periods of progressive corporate governance which governments promoted in the middle of the 20th century using a close examination of the theories of the company which then prevailed. She critically examines the rise of neoliberal theories on the company and corporate governance and argues that they have had a negative and regressive impact on social and economic development. In examining contemporary corporate governance she shows how regulatory styles as informed and described by prevailing regulatory theories, enables neoliberal outcomes. She illustrates how United Kingdom-derived corporate governance codes have informed the corporate governance initiatives of European and global institutions. From this she argues that neoliberalism has re-entered ex command transition economies through those United Kingdom and OECD inspired corporate governance Codes over a decade after the earlier failed and destructive neoliberal prescriptions for transition had been rejected. Throughout, Talbot argues that shareholder primacy has socially regressive outcomes and firmly takes a stand against current initiatives to enhance shareholder voting in such issues as director remuneration. The book concludes with a series of proposals to recalibrate the power between those involved in company activity; shareholders, directors and employees so that the public company can begin to work for the public and not shareholders.

Bookkeeping is an application of arithmetic. It would be useless to attempt to discover anything in the principles of single or double entry bookkeeping that is not well established. It would be equally useless to carry a student through the forms of such discovery. The land-marks of accounting have been definitely placed, the principles have been clearly defined. It is the part of a course of this nature to so arrange the facts that in a progressive order each may follow as a result of that which has preceded. This course consists of twenty-five graded exercises beginning with the ledger form, from that passing to its use, from that to the rules governing its use, and to the other forms contributing to it. The trial balance, statement. and ledger closed are the natural and necessary sequences of the line of demonstration commenced. The subject matter of these exercises has always been chosen with reference to the previous experiences of those taking the course. Following exercises ten. fifteen and twenty are business practice sets A, B and C. These subject the knowledge acquired in the exercises to a fair business test. The introduction of transactions and forms, outgoing and incoming, used in A. B and C, gives to the accounting principles and facts learned a business setting. It is claimed for results in the course as here arranged that the student has a more definite knowledge of what to do. and a clearer perception of completion when his task is finished, than in other similar courses now in use. Likewise, the teacher has the maximum control of the students' work with the minimum effort on his part. The slow student cannot seem to be rapid, nor can the progress of the rapid student he covered if the work is taken as outlined, and the accompanying automatic check is used. This is a consideration of importance where one teacher has charge of a large department. A teacher does not want to do any work that a prepared system can do. He wants to teach, not tinker. The established principles and bookkeeping rules are arranged in numbered information topics, to which reference is constantly made. The forms are reproductions of the work of a practical writer and accountant who never hesitated to allow his work to undergo the test of the first-class business office in first-class competition. The variety of forms will be found extensive. Exercises I. to X., inclusive, provide a four weeks' course for those who do not intend to pursue the subject further. Many other definitions are available but this definition (1) stresses the fact that logistics concerns the strategical management level in the first place because of the over-all character of logistics and its long-term aspects; too long, emphasis has been laid on the operational aspects of logistics. The heart of the logistics concept is an integrated approach where cost savings are identified by considering the total costs of the system. This approach already implies the need for over-all management since the decisions about the different elements of the logistics system (transportation, inventories, facilities, unitization, communications) are traditionally made within different functions or departments. However, the need for over-all management becomes more stringent where the effectiveness of the company as a whole is considered i. e. where the logistics system has to be brought into balance with the production system and the marketing system (e. g. inventory levels vs. production-run lengths and customer service levels) . All elements of the logistiCS system have long-term aspects which have to be put into a planning system, c.q. the planning of a new transportation method, the planning of a new distribution centre.
