The original work, in my judgment, was an excellent one, and much better adapted for practical use by the profession than any which has been published. In going over the topics treated by the author I have found on every page evidences of careful research, conscientious study and an honest purpose on his part to give to the profession a book upon the vast topics covered by it, which should be of value to them, and I sincerely trust. That my labors have not impaired the symmetry or the excellence of his work. If my task had been to write a new work upon the subject, my plan might have been somewhat different from the author's, as I have always believed that a subject, involving so many nice and intricate questions as this one does, cannot be satisfactorily treated in a single volume. The modern business instrument is the corporation. The development of the tendency through the instrument has resulted in the joining together, in varying forms, of corporate entities and properties. Corporate conjunction involves intercorporate relations, and the legal questions growing out of these relations furnish the subject-matter of this treatise. The preparation of the first four parts of this work has been a process of amplification; of the last part, a process of reduction. The conjunction of corporate entities through consolidation, of corporate properties through sales and leases, and the concentration of corporate control through holding shares, are outlined in general treatises upon corporation and railroad law. The material for the development of the subjects, in a manner commensurate with their importance, has, however, only been found through a systematic examination of original sources. The law governing combinations of corporations is more accessible, but less adaptable. The value of a mass of apparently conflicting decisions appears only when it is reduced to principles. In collecting the cases much assistance has been derived from the general treatises upon monopolies and similar subjects. Especial acknowledgment is due to Mr. Eddy's valuable work upon combinations of labor and capital ("Combinations"), although its underlying theory that a combination of capital, to be unlawful, must be a conspiracy, is the opposite of that of the present treatise. In the present work, I have confined myself to the subject of by-laws of private corporations and associations. When I have ventured somewhat beyond the scientific limits of the subject, it has been with a view to rendering the work more useful to mutual insurance and building and loan associations. The general by-laws found in the Appendix are mainly framed from those which the author has had occasion to draw from time to time for the use of clients. As stated in the Appendix, these forms must be taken rather as suggestions than as models, since no one set of by-laws can be so framed as to be suitable for all corporations. In this edition there has been also inserted in the Appendix copies of the by-laws of two of our great industrial corporations, - the Standard Oil Company and the Federal Steel Company. The nine years that have passed since the first edition at this work was published have been so fruitful in corporation decisions that I have been able to double the number of citations to adjudicated cases.
