A principal problemática diz respeito aos desequilíbrios ou assimetrias informacionais existentes entre ambos os mercados (o de capitais e o petrolífero) e como tais assimetrias afetam o desempenho dos órgãos reguladores dos referidos mercados. Para tanto, a obra examina, inicialmente, o regime jurídico do mercado de capitais brasileiro; na sequência, analisa os principais aspectos relacionados à regulação do mercado de capitais; logo após, investiga o regime de divulgação da informação no mercado de capitais, bem como suas consequências para a indústria do petróleo e gás natural; por fim, propõe um modelo de cooperação institucional entre os órgãos reguladores do mercado de capitais (a Comissão da Valores Mobiliários) e da indústria petrolífera (a Agência Nacional do Petróleo, Gás Natural e Biocombustíveis), com a finalidade de reduzir as assimetrias informacionais entre os entes reguladores e aperfeiçoar a regulação entre os referidos mercados.

Book excerpt: This book focuses on recent developments in consumer law, specifically addressing mandatory disclosures and the topical problem of information overload. It provides a comparative analysis based on national reports from countries with common law and civil law traditions in Asia, America and Europe, and presents the reports in the form of chapters that have been drafted on the basis of a questionnaire, and which use the same structure as the questionnaire to allow them to be easily compared. The book starts with an analysis of the basic assumptions underlying the current consumer protection models and examines whether and how consumer models adapt to the new market conditions. The second part addresses the information obligations themselves, first highlighting the differences in the reported countries before narrowing the analysis down to countries with a general pre-contractual information duty, particularly the transparency requirements that often come with such a duty. The next part examines recent developments in the law on food labelling, commercial practices and unfair contract terms in order to identify whether similar traits can be found in European and non-European jurisdictions. The fourth part of the book focuses on specific information obligations in the financial services and e-commerce sectors, discussing the fact that legislators are experimenting with different forms of summary disclosures in these sectors. The final part provides a critical appraisal of the recent developments in consumer information obligations, addressing the question of whether the multiple criticisms from behavioural sciences necessitate abandonment or refinement of current consumer information models in favour of new, more adequate forms of consumer protection, and providing suggestions.

As a direct result of deregulated financial markets, financial crises occurred in both developed and developing economies. However, this volume argues that in the most recent crisis developing countries suffered less, and that financial policy and regulation played a crucial part in this. The contributors to this volume explore the alternative development paradigm that has been gaining credence since the Asian crisis, known as new developmentalism. New developmentalism is embodied in the following principles: exchange rate responsibility or growth with domestic savings, fiscal responsibility, and the assignment of a strategic role for the state. New developmentalism is a set of values, ideas, institutions and economic policies through which, in the early 21st century, developing countries have sought to catch up with developed countries. This book examines the global financial crisis, the financial regulatory problem, with particular emphasis on Brazil, and the alternative policies that derive from new developmentalism. This volume will be of interest to scholars and policymakers working in the areas of globalization, financial regulation and development studies.
