Book excerpt: This is the last in a series of four articles, in which the authors compare specific aspects of the real estate investment trust (REIT) regimes in the United States, the United Kingdom and Germany. Previous articles dealt separately with the REIT regimes in each of these countries. The United States has had a REIT regime since the 1960s and was, in many respects, a model for the UK and German regimes. However, both of the new regimes diverged from the US example in a number of ways. This article considers the differences in national circumstances that might have led to the three countries enacting different REIT models. The article also evaluates the advantages and disadvantages of certain features of each regime, and speculates about the future of REITs.

Book excerpt: In this first of a series of four articles, the authors consider real estate investment trust (REIT) regimes in general, and, then, focus on US REITs. In subsequent articles the authors deal with UK and German REITs, before concluding with a comparison of the three regimes. The United States was the first country to introduce an entity specifically designed for real estate investment, in the 1960s. The key features of the US REIT regime, especially tax-preferred status, are the features that most other REIT regimes tend to share in one form or another. REITs boomed in the 1990s and continued to be successful up until about 2005 or 2006. However, REITs declined during the 2008-2009 credit crisis. The article also discusses the extent to which REITs themselves contributed to the crisis in real estate markets.

This article explores the implementation and use of the REIT regime in Germany. National REIT regimes provide incentives for indirect investment in real estate by giving certain entities preferential tax treatment. Germany was a relative latecomer to the REIT regime. The article assesses the German experience since 2007. REIT legislation has been considered a positive and necessary step for Germany as a major real estate and financial market, however, there were challenges as a result of the financial crisis of 2008-2009.

Book excerpt: It is well known that investments in real estate provide relatively stable yields compared with stock market volatility, so it is not surprising that, with globalisation, investors have pursued such opportunities across borders, especially where foreign countries offer beneficial tax regimes. Nor it is surprising that states should fear erosion of their tax base in the presence of such investments. This groundbreaking book – the first in-depth comparative analysis of taxation of real estate investment trusts (REITs) in different European Union (EU) Member States – investigates the impact of EU law on direct taxation in the case of REITs, and whether EU policies in this area have led national legislators to adjust their REIT regimes. Presenting detailed case studies of three EU Member States – France (a well-established REIT regime), Bulgaria (a new accession state) and Spain (a recent REIT regime) – this book explores the idea of a harmonised EU REIT, and whether harmonisation among national REIT regimes may be possible. Among the issues and topics arising in the course of the presentation are the following: – ‘goodness of fit’ and adaptational soft pressure; – relevant case law from the European Court of Justice, including both tax and company law; – ‘REIT shopping’; – noncompliance of REIT regimes with EU law; and – criteria for the ‘misfit’ analysis of REIT regimes and potential infringements of EU law. The analysis ultimately documents conditions and circumstances for the creation of a harmonised ‘Euro-REIT’ by assessing the level of change on the area of direct taxation within the Member States which would be needed for such a creation to become reality, identifying common themes across different legal systems that could assist the harmonisation of laws. Throughout, a holistic view is taken, linking tax and company law with considerations of sovereignty, policy and culture. In its structured framework comparing REIT regimes, this incomparable study takes a giant step towards overcoming resistance to a common REIT taxation regime in the EU. As the first comparative study of REIT regimes to identify an emerging common understanding informed by European jurisprudence and Europeanisation policy and theory, it is sure to be welcomed by practitioners, academics and policymakers in European law and international taxation as well as European studies.

In order to do so the first topic is the background information followed by an analysis of the current situation. Furthermore there will be a comparision between the advantages and disadvantages of the REIT. The REIT system, in combination with London's strong and traditional capital markets, has given the property investment sector the opportunity to grow. The law to set and preserve the identity of REITs in the United Kingdom was enacted in January 2007 and soon after that several property groups changed to REITs as well as some start-up REITs developed. Basically Real Estate Investment Trusts allow property companies to take part in the equity markets and thus provide financial means to end-investors without any tax leakage. Therefore UK-REITs offer further asset classes to investors and shareholders. REIT, which stands for Real Estate Investment Trust, deals with real estate as its asset. Therefore someone could assume that REIT was to be an equivalent alternative to direct property investment. Instead trade as equities follows other market mechanism than the cumbrous direct property market does. Trading on equities may change the character of REITs as investments, which comes apparent in the volatilities of direct real estates and REITs. The question arises whether REITs is to be seen as an investment in real estate or in equities or if it represents a hybrid form of both characteristics. Are REITs belonging to the real estate allocation or are they part of the equity allocation? A recent study reveals that 35% of US investors acknowledge REITs as an element of real estate business, while 37,5% favour them to be part of the equity section. Because the answer to this relevant question is very vague and undecided, it could explain why institutions still only take gentle steps towards the REIT market.

Book excerpt: Although Article 23(5) of EU Regulation 1/2003 provides that competition law fines ‘shall not be of a criminal law nature’, this has not prevented certain criminal law principles from finding their way into European Union (EU) competition law procedures. Even more significantly, the deterrent effect of competition law fines has led courts in the Netherlands and the United Kingdom (UK), as well as the European Court of Human Rights, to conclude that competition law proceedings can lead to a criminal charge. This book offers the first book-length study of whether courts do indeed apply criminal law principles in competition law proceedings and, if so, how these principles are adapted to the needs and characteristics of competition law. Focusing on competition law developments (both legislative and judicial) over a period of twenty years in three jurisdictions – the Netherlands, the UK and the EU – the author compares how each of the following (criminal law) principles has emerged and been interpreted in each jurisdiction’s proceedings: freedom from self-incrimination; non bis in idem; burden and standard of proof; legality and legal certainty; and proportionality of sanctions. The author offers proposals involving both legislative and judicial actions, with examples of judges invoking criminal law principles to develop an appropriate level of safeguards in competition law proceedings. The book shows that criminal law can provide a rich source of inspiration for the judiciary on the appropriate level of legal safeguards in competition law proceedings. As such, it provides an important source of information and guidance for lawyers and judges dealing with competition law matters.
