Book Toward New Corporate Governance Standards in the Kingdom of Saudi Arabia Lessons from Delaware

Download or read book Toward New Corporate Governance Standards in the Kingdom of Saudi Arabia Lessons from Delaware written by Meshal Faraj and published by SABIC Chair for IFMS. This book was released on 2016-02-14 with total page 206 pages. Available in PDF, EPUB and Kindle. Book excerpt: There is currently a debate in the Kingdom of Saudi Arabia is over how directors of publicly held companies can be held accountable. Before addressing this question, we should determine when it is that a director violates her or his duties. This study seeks to bring focus to the accountability system in Saudi Arabia. It investigates a legal defect in that system: the Saudi Companies Law incorporates standards of conduct but lacks standards of review. This study argues that although directors’ duties have been formulated so that there are areas left to be developed by courts, Saudi judges do not retain residual lawmaking powers which they could use to fill a regulatory vacuum. It builds upon empirical evidence to prove the underlying reasons that the context has changed, which ultimately has created the need to reform the Saudi fiduciary duties system. New cases in Saudi Arabia evoke some of the contours of Delaware corporate law. New cases have triggered standards of conduct violations that might be identical to fiduciary violations in Delaware. Therefore, this study proposes to transplant Delaware standards of review to Saudi Arabia. It argues that the contextual change in Saudi Arabia after the establishment of the Capital Market Authority would make this transplant more significant. Closer analysis suggests that both systems are consensus on the shareholder primacy model. This convergence on the shareholder model inevitably ensures a functional convergence in the long run.

Book The Maritime Laws of the Arabian Gulf Cooperation Council States

Download or read book The Maritime Laws of the Arabian Gulf Cooperation Council States written by Richard Price and published by BRILL. This book was released on 2023-09-29 with total page 275 pages. Available in PDF, EPUB and Kindle. Book excerpt: The past ten years have seen rapid growth in the economic and maritime importance of the Arabian GCC states and an equally rapid modernisation of their domestic laws. Nevertheless, much of the maritime law and procedure in the region remains unknows or misunderstood both outside and even inside the region. Since the region is likely to remain significant in terms of maritime commerce, a better understanding of the law and regulations is required. The Maritime Laws of Arabian Gulf Cooperation States is intended as a guide not only for lawyers concerned with maritime law in the Gulf region, but also for all sectors of the shipping community with an involvement in the region. After a brief description of the historical maritime and legal background, Volume I discusses in detail the operation and application of GCC maritime law. The major areas are analysed and placed in the context of the accepted regime of international maritime law. The author finally draws some important general conclusions and looks to the future of maritime law in the Gulf - including the movement for the unification of the laws of the GCC. Volume II of the work contains translations of the major GCC maritime legislation as well as tables if International Conventions that have been ratified by the GCC States.

Book Investor State Dispute Settlement and International Investment Agreements

Download or read book Investor State Dispute Settlement and International Investment Agreements written by David Price and published by Taylor & Francis. This book was released on 2024-06-03 with total page 218 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book examines the international investment agreements and the dispute settlement mechanisms contained therein, which bind the Gulf Cooperation Council member States. The Gulf Cooperation Council (GCC), comprising Bahrain, Kuwait, Oman, Qatar, Saudi Arabia, and the United Arab Emirates, is complex and unique. Recently, all member States have experienced increasing investor–state arbitration claims, while their nationals are increasingly instituting investor–state arbitrations to protect their own foreign investments. Intra-GCC disputes, though relatively rare, have also appeared, largely as a result of the recent Gulf crisis. While focussing particularly upon the investor–state dispute settlement experience of member States as respondents, the book also explores the experiences of their nationals as claimants to determine how they can approach investor– state dispute settlement in the future. The book also reflects on existing treaty-making practices, making recommendations for regional-level dispute settlement to improve upon investor–state dispute settlement outcomes. This book provides a detailed analysis of the global investor–state dispute settlement regime and international investment agreements, and it will be of interest to students, academics, and practitioners with an interest in international investment law and arbitration.

Book excerpt: Corporate Legal Compliance Handbook, Third Edition, provides the knowledge necessary to implement or enhance a compliance program in a specific company, or in a client's company. The book focuses not only on doing what is legal or what is right--the two are both important but not always the same--but also on how to make a compliance program actually work. The book is organized in a sequence that follows how to approach a compliance program. It gives the compliance officer, consultant, or attorney a good grounding in the basics of compliance law. This includes such things as the rules about corporate and individual liability, an understanding of the basics of the key laws that impact companies, and the workings of the U.S. Sentencing Guidelines. Successful programs also require an understanding of educational techniques, good communication skills, and the use of computer tools. The effective compliance program also takes into account how to deliver messages using a variety of media to reach employees in different locations, of different ages or education, who speak different languages. Note: Online subscriptions are for three-month periods.
